Revisions

We keep refining the work until you are fully satisfied with it, within the agreed scope. Revisions are reasonable changes to the deliverables described in the proposal. Requests that substantially change the direction, scope, or volume of the work are treated as new scope and quoted separately before we start them.

Revisions must be submitted as consolidated feedback, not incrementally across multiple messages.

Timelines and Delays

We will make every reasonable effort to meet the timelines agreed in the project proposal. Timelines are contingent on:

• Prompt provision of required materials, feedback, and approvals from the client
• Agreed revision turnaround times being respected by both parties

Delays caused by late client feedback, missing assets, or scope changes are not the responsibility of Mound Studio and may extend the delivery date accordingly.

Client Responsibilities

To ensure smooth project delivery, the client agrees to:

• Provide all required content, assets, brand materials, and access credentials on time
• Appoint a single point of contact for approvals and feedback
• Review and provide consolidated feedback within the agreed timeframe
• Notify Mound Studio of any business changes that may affect the project scope or direction

Intellectual Property and Ownership

• All final design files, source files, and deliverables produced for the client become the property of the client
• The client is granted full commercial rights to use, modify, and reproduce the deliverables

• All work remains the intellectual property of Mound Studio
• The client may not use, publish, or reproduce any work until the final payment has cleared

• Display completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing before project commencement
• Retain working files and project archives for internal reference

Confidentiality

Both parties agree to keep confidential any proprietary information, business strategies, or sensitive data shared during the project. Mound Studio will not disclose client information to third parties without written consent, except where required by law.

Upon request, Mound Studio will sign a mutual Non-Disclosure Agreement (NDA) before project discussions begin.

Third-Party Tools and Platforms

Some projects involve third-party platforms such as Webflow, WordPress, or Shopify. The client is responsible for maintaining their own accounts and subscriptions to these platforms. Mound Studio is not liable for any service disruptions, policy changes, or pricing changes made by third-party platforms.

Warranties and Disclaimers

• All work is original and does not infringe the intellectual property rights of any third party
• We will apply reasonable professional skill and care in delivering all services

• Specific business outcomes, conversion rates, or search engine rankings resulting from design or development work
• That software, websites, or applications will be entirely free from bugs after delivery (a reasonable post-launch support window is defined in each proposal)

Limitation of Liability

To the maximum extent permitted by applicable law, Mound Studio’s total liability to the client for any claim arising out of or in connection with a project shall not exceed the total fees paid by the client for that specific project.

Mound Studio shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity.

Termination

By the client: The client may terminate a project at any time with written notice. Work completed to date will be invoiced at the agreed rate. Any advance payments for work not yet started may be refunded at Mound Studio’s discretion based on resources already allocated.

By Mound Studio: Mound Studio reserves the right to terminate an engagement if the client fails to make payment, engages in abusive or unreasonable conduct, or materially breaches these terms. In such cases, all work completed to date will be invoiced.

Upon termination, all deliverables produced up to that point will be provided to the client upon receipt of outstanding payment.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If resolution cannot be reached within 30 days, the parties may seek mediation before pursuing formal legal proceedings.

These Terms shall be governed by the laws of Bangladesh. Both parties consent to the non-exclusive jurisdiction of the courts of Bangladesh for the resolution of any disputes.

Website Use

By visiting mound.studio, you agree not to:

• Copy, scrape, or reproduce any content without written permission
• Use the site for any unlawful purpose
• Attempt to gain unauthorised access to any part of the site or its infrastructure

Mound Studio reserves the right to modify or discontinue the website at any time without notice.

Changes to These Terms

Mound Studio may update these Terms and Conditions from time to time. The updated version will be posted on this page with a revised effective date. Continued use of our website or services after any update constitutes acceptance of the revised terms.
